Athena Productions Equipment Rental Agreement

Please read the following Athena Productions Equipment Rental Agreement before renting equipment. By receiving rental equipment from Athena Productions, the Lessee agree to be bound by these terms.


This Equipment Rental Agreement (the “Agreement”) is made and entered into by and between Athena Productions LLC, with its principal place of business at 8316 East Conant Street Nampa, Idaho 83687 (the “Lessor”), and Lessee, collectively referred to herein as the “Parties.”

  1. Equipment. Lessor hereby agrees to rent to Lessee the equipment attached hereto (the “Equipment”) in a Quote Document.
  2. Lessee Proof of Identity. The Lessee must submit for inspection an original government issued photo identification. The Lessor may make photographic copies of this identification. Acceptable identification includes a state driver’s license, a state identification card, a U.S. passport, a tribal photo identification card, or a concealed carry license card issued by a county sheriff in Idaho.
  3. Fixed Rental Term. If the rental is for a fixed term, the fixed rental term shall be agreed upon in writing by both parties, at a pre-determined rental fee.
    Fixed Rental Term Payment. Lessee shall pay Lessor rental fees for the Equipment as set forth attached hereto. Rental fees shall be due and payable in advance, unless otherwise agreed to in writing by the Parties.
    Late Fees. If Lessee fails to return the Equipment to Lessor’s at the end of the fixed rental term, a daily late fee will apply, with each day consisting of a 24-hour period beginning at the end of the scheduled equipment return appointment (see Section 5). Unless the quote lists another late fee structure, the quoted daily rate excluding discounts is the daily late fee.
  4. Open Rental Term. If the rental is for an open term, then the Equipment shall be rented on a daily basis, with each day consisting of a 24-hour period beginning at the time the Equipment is delivered to Lessee. The rental term shall be extended automatically for additional days until the equipment is returned. A daily fee shall be assessed for each day or any portion of a day.
    Term Discount on Rentals. Unless the quote lists another term-based discount structure, a calendar week shall be discounted to 3 days and a calendar month shall be discounted to 3 weeks (9 days).
    Open Rental Term Payment. Lessor shall send invoices to Lessee on a monthly basis beginning one month from the date the Equipment is delivered to Lessee. Within 30 days of the conclusion of the rental, the Lessor will produce a Final Invoice. All payments shall be made on Net 30 terms.
    Lessor’s right to Terminate Rental and to make changes to Rental Agreement during an Open Rental. The Lessor may make changes to this agreement, including changing the rates or terminating the rental with at least 1 weeks’ notice from the effective date. Changes may be effective immediately when agreed upon in writing by both parties.
  5. Delivery and Return, Appointments. Lessee shall take delivery and return the Equipment at a time and location agreed upon by both parties in writing. The Lessee must coordinate return times with the Lessor and cannot return equipment without an appointment. The Lessor’s place of business is always an acceptable location; however, it is not continuously staffed and is not capable of accepting uncoordinated returns. The Lessor, at their discretion, may waive rental fees to accommodate agreeable delivery and return times. The Lessor receiving equipment does not indicate that the Lessee has paid all fees for the rental or that the equipment has been judged to be in good condition.
  6. Lessee’s right to Terminate. The Lessee can request a return appointment to conclude the rental on any day. If the rental is a fixed term rental, the rental will be discounted to an open rental term if characterizing the rental as an open term rental would have lower fees.
  7. Earnest Deposit. The Lessor may require an earnest deposit made in advance of the rental to secure the rental equipment for the use of the Lessee. This deposit is credited towards any fees on the rental.
  8. Failure to Return. Lessor may take any legal action necessary to recover possession of the Equipment, and Lessee shall be responsible for all costs and expenses incurred by Lessor in connection with such legal action.
  9. Damage, Maintenance, and Repairs. Equipment requiring repair or maintenance should be returned to the Lessor. Lessee shall be responsible for maintenance, repair, or replacement costs associated with damage or destruction from any and every cause whatsoever exceeding expected wear and tear caused to the Equipment throughout the rental term. The Lessor may use their discretion to form remedies or apply credits for faulty equipment. Upon return, the Lessor will evaluate the equipment and notify the Lessee within 15 calendar days of any missing or damaged equipment and associated fees assessed to the Lessee.
  10. Risk of Loss or Theft. Lessee assumes all risks of loss or theft of the Equipment from any and every cause whatsoever, from the time the Equipment is delivered to Lessee until it is returned to Lessor at a return appointment.
  11. Insurance. Lessee shall maintain, at its own expense, insurance covering the Equipment for its full replacement value, against loss, theft, damage or destruction from any and every cause whatsoever, throughout the rental term. Lessee shall provide Lessor with proof of such insurance upon request.
  12. Indemnification. Lessee shall indemnify and hold harmless Lessor from any and all claims, damages, liabilities, costs and expenses, including reasonable attorney’s fees, arising out of or in connection with Lessee’s use of the Equipment.
  13. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Idaho, without giving effect to any choice of law or conflict of law provision or rule.
  14. Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
